Re-import FBX without losing custom material assignments

What would the proper way be to re-import and FBX (over write an old one) without having custom texture assignments thrown out and having to be dragged back onto the FBX?

Right now I am exporting updated FBX files, with fixed UV maps out of Max, the first one has textures embedded and after that I replace that with one that doesn’t have textures embedded. I have update materials turned off, should I have textures turned off as well even if there aren’t any in the FBX?
